SAN DIEGO, Calif., Sept.
11, 2007 -- Dr. Richard C. Atkinson has announced that he plans
to resign as an independent director of the Cubic Corporation
Board of Directors to devote more time to his academic and community
commitments. His resignation is effective October 1, 2007.
Dr. Atkinson, President Emeritus of the University of California,
has served on Cubic’s Board of Directors for more than
12 years. He is one of five independent directors on Cubic’s
nine-member Board. American Stock Exchange standards require
that all listed companies have and maintain a majority of independent
directors.
As a result of the resignation, Cubic anticipates receiving
a warning letter from the exchange that it is not in compliance
with the independent majority requirement. Cubic has commenced
a search for a qualified individual to fill the independent
director vacancy and expects that this vacancy will be filled
within a reasonable time.
Cubic Corporation is the parent of two major segments: transportation
and defense. The Cubic Transportation Systems group provides
state-of-the-art mass transit solutions used by commuters around
the globe. The Cubic Defense Applications group develops and
integrates mission critical systems and services for warfighters
at home and in the field.
